MSC LAMINATES AND COMPOSITES TO ACQUIRE GAC IN GERMANY

<%=company1%>, a Material Sciences Corporation company, announces its letter of intent to acquire GAC, a leading brake damper supplier based in Buchenau, Germany. This action represents the first phase of MSC Laminates and Composites' plan to establish a European base of operations to serve the brake market there. The acquisitions will be finalized in early 2001.

Ron Millar, Group VP and General Manager of MSC Laminates and Composites, observes, "As the market leader in North America for brake noise reduction materials, we recognized the need to expand our sphere of manufacturing and technical service operations to serve our global customer base. The acquisition of GAC will give us a strong base from which to introduce more of our products to the European brake market. GAC's reputation for quality and its production facilities matched our needs quite well."

GAC currently sells all the major friction materials companies in Europe and South America, from its manufacturing and analytical testing complex in Buchenau, Germany, as well as its sales and technical facility in Bad Homburg, near Frankfurt, Germany.
